1. Agreement Overview These Terms of Service (the “Terms”) apply to all visitors, buyers, and customers accessing our website and engaging in business with us. Our website functions primarily as an online product showcase and catalog; we do not process direct financial transactions or automated online orders here. By browsing this website, requesting quotes, submitting artwork files, or confirming orders and paying invoices/deposits via WhatsApp, email, or other communication channels, you fully accept and agree to be bound by these Terms. 

2. Definitions 

– Custom Packaging: Any box, bag, ribbon, or packaging accessory manufactured or printed with your specific logo, branding, custom sizes, structures, or customized materials. 

– Proof Approval: The final digital design blueprint, layout, or pre-production sample photo sent to the buyer via email or WhatsApp for final confirmation before mass production begins.

– MOQ: Minimum Order Quantity required for production, as specified in our individual official quotations. 

3. Quotes, Pricing & Payments 

– Personalized Quotations: Because all packaging is fully tailored to individual specifications and shipping costs vary by method, prices are not fixed on the website. All official quotations are provided individually via email or WhatsApp and remain valid for 30 calendar days from the date of issuance.

 – Currency & Fees: All prices are denominated in USD and exclude international shipping fees, destination customs clearance charges, import duties, and local taxes unless explicitly stated otherwise in writing. 

– Payment Terms: All custom orders require a 30% to 50% production deposit before manufacturing begins. The remaining full balance must be paid and cleared before the goods are dispatched from our facility. 

– Price Fluctuations: We reserve the right to adjust product pricing prior to order confirmation due to sudden raw material cost fluctuations or exchange rate shifts. 

4. Order, Artwork & Production Rules 

– Buyer’s Responsibility: The buyer is solely and fully responsible for thoroughly verifying all text, spelling, logos, dimensions, structural design, and Pantone/CMYK color codes when reviewing and approving design proofs. The Nova Pack shall not be liable or held responsible for any manufacturing or printing errors present in the artwork once it has been approved by the buyer. 

– Order Cancellation Policy: 

* Before Proof Confirmation / Production: The deposit is refundable, minus a $50 USD non-refundable administrative and design service fee. 

* After Proof Approval / Mass Production Has Started: Because custom packaging is personalized and cannot be resold, the deposit becomes 100% non-refundable. If an order is canceled after production has begun or completed, the deposit will be forfeited, and the buyer may still be held liable for any incurred manufacturing costs. 

– Right of Refusal: We do not manufacture packaging that contains infringing trademarks, unauthorized copyrighted material, or illegal content. We reserve the right to reject any order at our sole discretion. 

5. Industry Tolerances (Printing & Quantity)

 – Color Variation: The buyer acknowledges that minor color variations are inherent in international printing processes. Slight variations between digital screen displays (RGB), printed physical paper proofs, and final mass production runs (CMYK/Pantone) are normal and shall not be considered a defect. 

– Quantity Tolerance: Due to the nature of custom packaging manufacturing and machine setup loss, final delivered quantities may vary by up to ±5% of the ordered amount. Orders will be invoiced and settled based on the actual quantity produced and shipped. 

6. Intellectual Property All website photography, text, original graphics, and our brand logo “The Nova Pack” are the intellectual property of The Nova Pack. You may not copy, scrape, modify, or redistribute our website images or content for commercial use without our explicit written permission. Your custom brand logos and artwork remain your sole intellectual property. 

7. Website Usage Rules You agree to use our website only for lawful purposes. You may not engage in data scraping, malicious cyber-attacks, spamming, or submitting fraudulent inquiries. We reserve the right to block access or terminate communications with any user violating these rules. 

8. Limitation of Liability The Nova Pack shall not be liable for any indirect, incidental, or consequential damages, lost profits, business interruptions, or shipping delays caused by international freight carriers or customs clearance inspections in the destination country. Our maximum total liability for any dispute or claim shall never exceed the actual total amount paid by the buyer for the specific order in question.

9. Governing Law & Dispute Resolution These Terms and all subsequent B2B purchase agreements are governed by and construed in accordance with the laws of the People’s Republic of China. Any dispute arising from your use of this website or subsequent custom orders shall first be resolved through friendly negotiation. If a mutual agreement cannot be reached, the dispute shall be submitted to the exclusive jurisdiction of the local courts in Fuzhou City, Fujian Province, China.
